Partner Programme Terms

Last updated: 1 October 2026

These terms apply to anyone who applies to introduce businesses to BillGrid ("Partner", "you") under the partner programme run by Noria Technologies LTD ("Noria", "we", "us"). You accept them when you apply. Your share and how you are paid are confirmed in a written partner agreement once your application is approved.

1. What a partner does

  • You introduce water schemes, waste collectors, landlords, estates and other businesses that may use BillGrid.
  • You are an independent introducer, not our employee or agent. You may not make promises for us, quote prices other than those we publish or give you in writing, or sign anything on our behalf.
  • We may approve, decline or end any application, and we may work with other partners and sell to any business directly.

2. Registering a place

  • You register a place with us before you pitch it. Once it is registered to you, nobody else can claim it while your registration is open.
  • A registration lapses if the place does not sign up within the time shown in your partner screen. You can ask us to extend it.
  • If two partners register the same place, the first to register it is credited. Our records decide, and we share them with you on request.
  • A place that is already a BillGrid customer, or already in discussion with us, cannot be registered.

3. Your share

  • For each place you bring that goes live and pays, you earn a share of the subscription fees we actually receive from it, for twelve months from the day it goes live.
  • The share is agreed with you in writing. It is not paid on VAT, messaging top-ups, one-time setup fees or fees later refunded.
  • We pay by the tenth of each month for money received in the month before, with a statement of what each place paid and what you earned. We deduct withholding tax where the law requires it.

4. How you work

  • You describe BillGrid accurately, using the material we give you, and make no claims about features, prices or results that we have not confirmed.
  • You share a business's contact details with us only where that business has agreed.
  • You do not collect money from any business on our behalf.
  • You keep the terms of your partner agreement, including your share, confidential.

5. Ending

  • Either side may end the arrangement at any time by giving 30 days' notice.
  • If you misrepresent BillGrid, act dishonestly or break these terms, we may end it immediately and no further share is payable.
  • Otherwise, places you brought that already went live keep earning your share for the rest of their twelve months.

6. Law

These terms are governed by the laws of Kenya.
